These Terms of Service ("Terms") are a binding agreement between you and Tandem AI ("Tandem AI," "we," "us," or "our") governing your access to and use of the Tandem AI application, websites, and related services (together, the "service"). By creating an account or using the service, you agree to these Terms. If you don't agree, don't use the service.

The Dispute resolution section requires most disputes to be resolved through individual binding arbitration and waives your right to a jury trial and to participate in class actions. Please read it carefully — you can opt out of arbitration within 30 days.

The service

Tandem AI is an AI coaching tool. You have voice conversations with an AI that helps you set goals, track habits, and reflect on what's working.

Tandem AI is not a substitute for professional advice. It is not therapy, medical care, legal counsel, or financial advice, and no coach-client, doctor-patient, or other professional relationship is created by your use of it. Do not rely on it in an emergency. If you are in crisis or experiencing a medical or mental-health emergency, contact a qualified professional or your local emergency number immediately.

Who can use Tandem AI

You must be at least 13 years old — or 16 in jurisdictions where local law sets a higher minimum age — to use Tandem AI. By signing up you confirm that you meet that minimum age and that you have the legal capacity to enter into these Terms. If you are using the service on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms.

Your account

You're responsible for what happens on your account. That means:

Keep your login credentials safe.
Don't share your account with anyone else.
Provide accurate account information and keep it current.
Tell us right away if you suspect unauthorized access — contact us at tandemaiapp.com.

You are responsible for all activity that occurs under your account, whether or not you authorized it.

Acceptable use

You agree not to:

Use Tandem AI to harass, threaten, abuse, or harm anyone, or to generate or distribute unlawful, hateful, or sexually exploitative content.
Scrape, mirror, crawl, or automate access to the service in ways we haven't authorized.
Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying models of the service, except where this restriction is prohibited by law.
Probe, scan, or test the vulnerability of the service, or breach or circumvent any security or authentication measure.
Interfere with or disrupt the service, or impose an unreasonable load on our infrastructure.
Use the service to develop a competing product, or to train a competing AI model.
Use the service to violate any law or infringe anyone's intellectual property, privacy, or other rights.
Resell, sublicense, or share account access with people who haven't agreed to these Terms.

We may investigate suspected violations and may suspend or terminate accounts that violate these rules.

Voice recording

Tandem AI's core feature is voice. By using the voice features, you consent to your audio being recorded, transcribed, and stored for the purposes laid out in the Privacy Policy — running the service, holding context across conversations, and improving the product.

You are responsible for ensuring you have the right to record any other person whose voice you capture through the service. If you don't want recordings stored, you can:

Turn off call recording in settings, or
Avoid using the voice features.

SMS

If you give us your phone number and opt in, you consent to receiving text messages from Tandem AI's brand number. Message frequency varies. Message and data rates may apply. Reply STOP at any time to unsubscribe; reply HELP for help. Consent to receive messages is not a condition of using the service.

Proactive outreach

Proactive nudges — push notifications, SMS check-ins, scheduled prompts — are part of how the coaching works. You can turn them off in settings. Disabling outreach won't break the service but will change how you experience it.

AI output

Tandem AI uses AI models that can be wrong, biased, incomplete, or out of date, and that may produce the same or similar output for different users. Do not treat AI output as authoritative. Verify anything you'd act on, especially anything related to your health, finances, legal situation, or safety. You are solely responsible for any decisions you make or actions you take based on AI output.

Your content

You keep ownership of the content you create through Tandem AI — your conversations, the documents you write, the goals you set ("your content"). You grant Tandem AI a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your content as needed to operate, secure, and improve the service for you, as described in the Privacy Policy. This license ends when you delete your content or your account, except for copies retained in routine backups for a limited period and as required by law.

You represent that you have the rights necessary to grant this license and that your content does not violate these Terms or any law.

Our intellectual property

The service itself — including its software, models, design, text, logos, and the Tandem AI name and brand — is owned by Tandem AI or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the service in accordance with these Terms. We reserve all rights not expressly granted. Nothing in these Terms transfers any ownership of the service to you.

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

Third-party services

The service relies on third-party providers (for example, AI model, speech, messaging, and hosting providers) listed in the Privacy Policy. Your use of the service may be subject to those providers' terms, and we are not responsible for their products or services. The service may also contain links to third-party websites that we do not control or endorse.

Fees

Tandem AI may offer paid features or subscriptions. If you purchase a paid plan, the price, billing cycle, and renewal terms will be disclosed at the point of purchase, and you authorize us (and our payment processor) to charge your payment method on a recurring basis until you cancel. Unless required by law or stated otherwise at purchase, fees are non-refundable. We may change our fees on reasonable advance notice; changes apply to the next billing cycle.

Service availability

Tandem AI is provided as-is and as-available, without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the service will be uninterrupted, secure, error-free, or that AI responses will be accurate or reliable. We may change, suspend, or discontinue any part of the service at any time.

Limitation of liability

To the maximum extent permitted by law, Tandem AI and its operators, owners, employees, and suppliers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the service, even if we've been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $50.

Some jurisdictions don't allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Tandem AI and its operators, owners, employees, and suppliers from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the service, or your violation of these Terms or of any law or third-party right.

Termination

You can delete your account at any time from settings. Deletion runs immediately.
We can suspend or terminate your account, with or without notice, if you violate these Terms, if continued service would expose us or other users to legal or security risk, or if we discontinue the service.

On termination, your right to use the service ends and your account data is removed as described in the Privacy Policy. Sections that by their nature should survive termination — including Your content, Our intellectual property, Fees, Limitation of liability, Indemnification, Dispute resolution, and General — will survive.

Dispute resolution

Please read this section carefully — it affects your legal rights.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us through tandemaiapp.com with a description of the dispute and the relief you seek. We'll try to resolve it within 60 days. If we can't, either of us may proceed to arbitration.

Binding arbitration. Except for the exceptions below, you and Tandem AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's award may be entered in any court with jurisdiction.

Class-action waiver. You and Tandem AI agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. You and Tandem AI waive any right to a jury trial.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access to the service.

30-day opt-out. You may opt out of this arbitration agreement by submitting a notice through tandemaiapp.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Severability of this section. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in court; the rest of this section still applies.

Governing law

These Terms and any dispute arising out of them or the service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you and Tandem AI agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for that dispute, and you consent to personal jurisdiction there.

Changes to these Terms

We'll notify you in-app or by email before any material change to these Terms. Continuing to use Tandem AI after a change takes effect means you accept the new Terms. Non-material edits (typos, link fixes) may be made silently; the "last updated" date at the top will always reflect the most recent change.

General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Tandem AI about the service and supersede any prior agreements.
Severability. If any provision is found unenforceable, the rest stays in effect and the unenforceable provision is modified to the minimum extent needed to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
